These Terms and Conditions regulate the purchase of products through the online shop of Optiseeds (GLOBAL WEB MARKET SL), with NIF B54742531, and address at Calle Cardenal Benlloch, 11 bajo, 46920 Mislata (Valencia), Spain, (hereinafter “Optiseeds” or “the Company”). Access to and use of the online shop implies full and unreserved acceptance of these terms by the purchasing companies.
Definitions
- Client: company, professional or business with legal capacity to contract in Spain or in the EU.
- Parts: Optiseeds and the Client, jointly.
- Product(s): seeds and other items offered in the Optiseeds online shop.
- Contract: the agreement for the sale and purchase of Products concluded between the parties.
2. Scope of application
These Terms and Conditions apply exclusively to the business relationship between Optiseeds and Customers acting in a business or professional capacity. They are not aimed at consumers or private individuals.
3. Offer and acceptance
The Product offers published in the online shop do not constitute a binding offer, but an invitation to contract. The conclusion of the Contract shall be deemed to be completed when Optiseeds confirms the acceptance of the order placed by the Customer.
4. Prices
The prices of the Products are expressed in Euros (€) and include Value Added Tax (VAT) if applicable. The applicable price will be the price published in the online shop at the time the Customer places the order, unless there is a manifest error. Transport costs and any other additional costs will be indicated before finalising the order.
5. Terms of payment
The payment of the Products will be made by the means available on the online shop and accepted by Optiseeds. The risk of non-payment shall always remain with the Customer until Optiseeds receives the full amount of the transaction. In case of non-payment or late payment, Optiseeds may suspend or terminate the pending orders.
6. Delivery
Optiseeds will deliver the Products to the address indicated by the Customer when placing the order. Delivery times are estimates and may be affected by circumstances beyond Optiseeds' control (logistics, customs, transport, etc.). The risk of loss or damage to the Products shall pass to the Customer at the time of delivery in accordance with the choice of the agreed means of transport.
7. Guarantee of conformity
Optiseeds warrants that the Products delivered will conform to the specifications offered. The Customer shall verify the conformity of the Products at the time of delivery and notify any defect or discrepancy within a reasonable time in writing to info@optiseeds.com.
8. Limitation of liability
Except in case of intent or gross negligence on the part of Optiseeds, the liability of Optiseeds towards the Customer for any reason whatsoever (contractual, non-contractual or statutory) shall be limited to the total amount of the order giving rise to the claim.
9. Intellectual Property
All intellectual and industrial property rights on the design, texts, images, logos, brands, downloadable files and other contents of the online shop belong to Optiseeds or to third party owners of the same. Their unauthorised reproduction or use is prohibited.
10. Applicable law and jurisdiction
The relationship between Optiseeds and the Client shall be governed by Spanish law and, where applicable, by the applicable rules of private international law. For the resolution of any dispute arising from these Terms and Conditions, the parties submit to the Courts and Tribunals of Valencia (Spain), unless the law requires another jurisdiction.
11. Regulations on cannabis seeds
In accordance with the applicable regulations in Spain and the European Union, the cannabis seeds marketed by Optiseeds are considered genetic products intended for collection, preservation of plant biodiversity or other lawful uses permitted by Spanish and EU law. The sale of cannabis seeds is lawful as long as it does not promote or facilitate their germination or cultivation, which may be subject to legal restrictions depending on the local regulations applicable in the country of destination.
It is the responsibility of the Client to ensure that the use and destination of the seeds purchased is in accordance with the law in force in their jurisdiction and that the products are not used for purposes that contravene the regulations on narcotics or against public health in Spain or in the country of destination. Optiseeds is not responsible for uses other than those permitted by law.
12. Data protection
The processing of the Customer's personal data will be governed by the Privacy Policy which forms an integral part of these Terms and Conditions.
